The Regulation of International Trade and Transactions
We have advised numerous US and foreign clients on the many US regulations that can apply to international transactions, including:
• Export controls
• UN and OFAC sanctions
• The Foreign Corrupt Practices Act
• Anti-Boycott regulations
• Import/customs regulations
We have advised on numerous international instruments effecting trade, including GATT/WTO agreements, and regional and bilateral trade agreements such as NAFTA, the DR-CAFTA, and the US-Chile Free Trade Agreement.
Our lawyers have also advised clients on the rapidly evolving international norms of business conduct that are found in such instruments as the OECD Principles of Corporate Governance, the UN Global Compact, the Consumer Charter for Global Business, and the OECD Guidelines for Multinational Enterprises. These norms of corporate social responsibility are rapidly developing into standards of conduct to which a company may be held, not just by prominent activist groups, but also by customers and shareholders. Moreover, these norms are evolving toward standards of conduct that may be applied to the actions of a company even under traditional common law tort doctrines.
Off-Shore Asset Protection
We are experienced in the use of off-shore investment vehicles to minimize exposure to liability and to minimize tax exposure. We have experience establishing off-shore vehicles in numerous foreign jurisdictions.
International Disputes
Our lawyers have extensive experience in international arbitration and cross-border litigation, including: Arbitration (ICC, ICSID, and AAA); enforcement of foreign judgments; and collection of evidence abroad. We also have extensive experience arguing international issues in US litigation, including sovereign immunity, expropriation, comity, and act of state doctrine.
